Terms of Service

These terms cover how you use AdMogged: the website, the macOS menu-bar app, the ad auction, and the payouts that come with it. We kept them about as short as the product itself. Please read them before you bid or start earning.

1. Who we are, and accepting these terms

AdMogged is operated by Soundonyx Inc., doing business as AdMogged (we, us, our). By creating an account, installing the app, placing a bid, or earning through AdMogged, you agree to these terms. If you do not agree, please do not use the service.

In these terms, the service means the AdMogged website, the macOS menu-bar app, the ad auction, and the related payout system.

2. How AdMogged works

AdMogged has two sides. Advertisers bid in a continuous auction for a single ad slot, and the highest bidder holds the slot until someone outbids them. Mac users run the menu-bar app, display whichever ad currently holds the slot, and earn a share of what advertisers pay while they display it.

You never have to click an ad to earn, and clicking is always your choice.

3. Who can use it

You must be at least 18 years old and able to enter a binding contract.

To earn and receive payouts, you must be a United States person for tax purposes. Earning is limited to US-based users at launch.

Keep your account information accurate, use one account per person, and keep your login secure. You are responsible for activity under your account.

4. The Mac app

The app is free and open source. It sits in your menu bar and shows the ad that currently holds the slot, and that is the whole app.

You may read, build, and modify the source under the license in its public repository. Running a modified or automated client to inflate earnings, fake displays, or interfere with the auction is not allowed, and is grounds for forfeiting earnings and closing your account.

We may change, suspend, or discontinue parts of the app, the auction, or the earning rates at any time. Where a change materially affects earnings, we will give notice where reasonable.

5. Earnings and payouts

While your app displays the current ad, you accrue a share of what the advertiser pays for that slot, based on how long you displayed it and how many users shared that time, minus our platform fee.

Payouts are processed by Stripe. To receive money, you must set up a connected Stripe account and complete the identity verification that United States rules require, commonly called KYC. Stripe runs that check and holds the resulting identity information. We do not perform it, and we do not store your government identification.

We hold accrued earnings until the related advertiser payment has settled, and we pay out on a periodic basis once your balance passes a minimum threshold. We control the timing of payouts because we carry the risk of refunds, disputes, and fraud.

If an advertiser payment is refunded, reversed, or disputed, or if earnings came from fraud, invalid activity, or a technical error, we may reverse the related payout or deduct it from your current or future balance.

You are responsible for any taxes on what you earn. Where the law requires it, we or Stripe will issue tax forms such as an IRS Form 1099, and you must give us accurate tax information such as a Form W-9. We may hold payouts until you do.

We do not promise any particular amount of earnings. Rates, the platform fee, the payout threshold, and the payout method may change.

6. Stripe service agreement

Payments and payouts run on Stripe. When you set up payouts, you also agree to the Stripe service agreement that applies to you, which for people receiving payouts is the Stripe Connected Account Agreement (which incorporates the Stripe Services Agreement). Accepting these terms includes accepting the applicable Stripe agreement.

Stripe processes your information under the Stripe Privacy Policy. Our Privacy Policy explains how that works.

7. For advertisers

There is one ad slot and one live auction for it. You set the most you are willing to pay to hold the slot, you pay only while you hold it, and you can raise your bid, lower it, or stop at any time. Billing runs through Stripe.

Your ads must be honest and lawful. No malware, scams, deceptive claims, illegal offers, or shock content. You are responsible for your ad, and you confirm you have the rights to everything in it.

We may reject, remove, or pause any ad, and reclaim the slot, if it breaks these rules or creates risk for users or for us.

8. Acceptable use

Do not break the law, infringe the rights of others, or use the service to harm anyone.

Do not try to manipulate the auction or earnings through bots, fake installs, multiple accounts, or any other abuse. Do not interfere with, overload, or attempt to gain unauthorized access to the service or its systems.

9. Suspension and closing your account

You may close your account at any time. When you do, we remove your data as described in the Privacy Policy, except for records that Stripe must keep for tax and anti-fraud rules.

We may suspend or close an account that breaks these terms, creates risk, or where the law requires it. Earnings tied to fraud, abuse, or reversed advertiser payments may be withheld or reversed. Eligible earnings that are genuinely owed are paid out under the normal rules.

10. The service is provided as is

AdMogged is offered as is and as available, without warranties of any kind, to the extent the law allows. The product is early, and features, auctions, and rates may change. We do not guarantee that the service will be uninterrupted or error-free, or that it will produce any particular earnings.

11. Limitation of liability

To the fullest extent the law allows, AdMogged and Soundonyx Inc. are not liable for indirect, incidental, special, or consequential damages, or for lost profits or lost earnings. Our total liability for any claim relating to the service is limited to the greater of the amount we paid or owed you in the three months before the claim, or $100.

12. Indemnification

You agree to cover reasonable costs and damages that arise from your misuse of the service, your breach of these terms, or, for advertisers, the content and claims in your ads.

13. Changes to these terms

We may update these terms. When changes are material, we will update the date above and give notice where reasonable. Continuing to use the service after a change means you accept the updated terms.

14. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that disputes will be handled in the state or federal courts located in Texas, and you consent to their jurisdiction. We both agree to try to resolve any dispute informally first by contacting each other.
